    1

    Agreement and eligibility

The Growth Systems Audit & Roadmap is a professional service intended for business use, including service businesses and agencies.

By purchasing the service, you confirm that you are at least 18 years old and authorised to enter into this Agreement on your own behalf or on behalf of the purchasing organisation.

This Agreement consists of these Terms, the applicable product description at checkout and any subsequently agreed written scope confirmation.

Material changes to the agreed scope, fees or deliverables require agreement in writing.

If the proposed engagement is unsuitable, cannot reasonably be delivered with the available information or presents unacceptable legal or security risks, ShapeShift may decline the engagement before substantive work begins and refund payments for services not provided, subject to applicable law.

    2

    Service scope

The Growth Systems Audit & Roadmap is a one-time strategic assessment costing US$497, plus any applicable taxes disclosed at checkout.

The standard audit focuses on one agreed customer acquisition and conversion journey, comprising:

    • One primary lead source or acquisition channel.
    • One relevant landing page, form or lead-capture process.
    • One relevant CRM pipeline or equivalent sales process.
    • The associated lead follow-up and conversion journey.
    • Available conversion and performance information relevant to that journey.

ShapeShift will assess the information reasonably available, including relevant configuration, customer journey steps, marketing materials, reports and explanations provided or authorised by the Client.

The scope is deliberately focused. The Audit is not a comprehensive review of every campaign, channel, website, workflow, CRM, department, sales process or business operation.

The Audit may identify missing information, incomplete reporting or suspected issues requiring further investigation. The fee does not include creating a new analytics infrastructure to obtain unavailable data.

    3

    Deliverables

    The standard Audit includes:

    • A Growth Systems Scorecard.
    • Up to three prioritised findings or improvement opportunities.
    • A practical 30/60/90-day Growth Roadmap.
    • One 60-minute online Findings & Strategy Session.

Findings may be categorised as confirmed issues, likely opportunities or matters requiring additional verification.

The Roadmap identifies priorities and recommended actions. It is not necessarily a complete technical specification or step-by-step implementation manual.

Recommendations may involve marketing strategy, messaging, lead capture, follow-up, conversion processes, reporting or operational improvements, depending on the agreed journey.

The Audit is a standalone service. The Client may implement recommendations independently, through its existing team or using another provider.

    4

    Exclusions and additional work

The purchase is for assessment, strategic advice and written recommendations only.

The standard Audit does not include:

    • Building or repairing websites, landing pages or funnels.
    • Setting up advertising accounts or launching campaigns.
    • Creating advertisements, graphics, videos or ongoing content.
    • Rebuilding CRM pipelines or automations.
    • Technical troubleshooting or live system repairs.
    • Installing integrations or repairing tracking.
    • Data migration, data cleansing or contact database enrichment.
    • Reviewing additional lead sources or customer journeys.
    • Managing advertising spend or ongoing campaigns.
    • Ongoing coaching, consulting, reporting or support.
    • Legal, financial, accounting, cybersecurity or regulatory compliance certification.

ShapeShift will not make material changes to live accounts as part of the standard Audit without separately documented authorisation.

Work outside the agreed scope requires a separate quotation or other written agreement. No additional paid work will be undertaken without approval.

The Client is not obliged to purchase implementation or ongoing services.

    5

    Timelines and delivery

Our target is to complete the agreed assessment within approximately five business days after all necessary onboarding information and authorised access have been received and verified.

The 60-minute findings session will be scheduled at a mutually available time.

The final written Growth Roadmap will ordinarily be provided within two business days after the findings session.

Timelines are estimates rather than guaranteed deadlines. Delays may result from incomplete information, access issues, third-party service availability, account complexity or circumstances outside ShapeShift's reasonable control.

ShapeShift will communicate material delays and propose a reasonable revised timeline.

If requested onboarding information or access remains incomplete for 30 days, ShapeShift may place the engagement on hold and contact the Client about resuming, revising or closing the engagement, with any refund assessed fairly based on work performed and applicable law.

    6

    Client responsibilities

The Client agrees to provide accurate, relevant and timely information reasonably required to complete the Audit.

The Client is responsible for choosing and approving the agreed customer journey and lead source.

The Client warrants that it has the legal authority to provide any relevant business information, platform access, marketing materials and personal information.

The Client remains responsible for its own systems, marketing activities, customers, staff, business decisions, regulatory obligations and implementation of recommendations.

The Client must not submit unnecessary sensitive personal information, customer databases, payment-card information, passwords, private keys or recovery codes through ordinary onboarding forms.

If information is particularly sensitive or subject to contractual, industry or legal restrictions, the Client must notify ShapeShift before disclosure or access.

The Client is responsible for maintaining appropriate backups and business continuity arrangements for its existing systems.

Where the Audit depends on third-party reporting or analytics, the Client accepts that recommendations may be limited by the completeness and accuracy of available data.

    7

    Secure access and permissions

Any access granted to ShapeShift must be properly authorised and reasonably necessary for the agreed Audit.

ShapeShift may request access to CRM reporting, relevant marketing accounts, landing pages, forms, customer journey information or other agreed systems.

ShapeShift will ordinarily seek the minimum permissions reasonably necessary for the assessment.

The Client must not share personal passwords or authentication codes. Individual user invitations or other secure access arrangements are preferred.

ShapeShift may decline insecure arrangements or request a different method of access.

The standard Audit does not authorise ShapeShift to make substantive production changes. Separate authorisation is required for any such work.

    8

    Use of AI and automation

The Client acknowledges and agrees that ShapeShift uses artificial intelligence, automation and other digital tools as part of its normal service delivery.

These tools may assist with research, analysis, summarisation, documentation, preparation of scorecards, identifying possible improvements and drafting recommendations.

ShapeShift may select and change the tools reasonably used to deliver the service without obtaining separate approval for each individual software product, provided its processing remains within the scope of this Agreement, the Privacy Policy and applicable law.

ShapeShift will use reasonable professional oversight and review AI-assisted work appropriately. AI-generated information may be incomplete or inaccurate and is not automatically treated as verified.

ShapeShift will use reasonable security, access and data minimisation practices, and will consider data retention and model-training controls when selecting and configuring tools.

ShapeShift will not knowingly use Client confidential information or personal information to train public AI models for unrelated purposes.

Where particularly sensitive or regulated information requires additional safeguards or specific consent, ShapeShift may require a separate written arrangement before using or processing that information.

Nothing in this clause overrides mandatory privacy, confidentiality or data protection requirements.

    9

Employees, VAs, contractors and overseas delivery

ShapeShift may use employees, virtual assistants, independent contractors, consultants and specialist service providers to help deliver the Audit.

These personnel may be located in Australia or internationally.

Work may include client communication, administration, research, data organisation, document preparation, reporting support, technical assistance and quality assurance.

ShapeShift will take reasonable steps to ensure that personnel accessing confidential or personal information are subject to appropriate confidentiality, security and access restrictions.

Access will be restricted to information reasonably required for each person's assigned responsibilities.

The Client acknowledges that authorised data access and processing may occur across international borders, subject to applicable privacy law, our Privacy Policy and any specifically agreed data processing requirements.

Where a Client requires data to remain in a particular jurisdiction or prohibits offshore personnel, the Client must disclose this requirement before access is provided. ShapeShift may agree to an alternative arrangement or decline the affected engagement.

ShapeShift remains responsible for its contractual commitments and its personnel's conduct to the extent required by law.

    10

    Confidentiality

Each party will protect confidential business, technical and commercial information received from the other party and use it only for legitimate purposes connected with the engagement, unless otherwise authorised or legally required.

Confidential information may be shared with authorised employees, contractors, advisers and service providers who reasonably require access and are subject to appropriate confidentiality obligations.

Confidentiality does not apply to information already lawfully known without restriction, independently developed, lawfully received from another source or publicly available without a breach.

ShapeShift will not publish the Client's identity, private account information, screenshots, results, testimonials or case studies without prior permission.

Both parties will use reasonable care when transmitting and storing confidential information.

These confidentiality obligations survive completion of the engagement while the information remains confidential.

    11

    Privacy and data handling

ShapeShift will handle personal information in accordance with its applicable legal obligations and Privacy Policy.

The Client remains responsible for ensuring it may lawfully disclose or provide access to any customer or prospect information shared for the Audit.

ShapeShift will not intentionally sell Client personal data or use it for unrelated marketing purposes.

Where required by applicable law or the nature of the information, the parties will enter a separate data processing or confidentiality arrangement before relevant processing begins.

ShapeShift will use reasonable access controls and security safeguards appropriate to the information handled.

If ShapeShift becomes aware of a security incident materially affecting Client information within its control, it will notify the Client without unreasonable delay and cooperate with reasonable and legally required response steps.

On completion, ShapeShift will cease unnecessary access and return, delete or retain Client information in accordance with applicable law, legitimate business recordkeeping and any agreed data processing terms.

    12

    Intellectual property

The Client retains its pre-existing intellectual property, business records, branding, marketing assets, data and confidential information.

ShapeShift retains ownership of its pre-existing and independently developed systems, templates, analysis frameworks, methodologies, prompts, processes, software, tools, know-how and reusable materials.

Once all fees lawfully due for the Audit have been paid, the Client receives a perpetual, non-exclusive licence to use the final Audit report, scorecard and roadmap within its business, including sharing them with employees and contractors implementing the recommendations.

The Client may not resell, reproduce as a competing commercial audit product, publicly distribute or commercially license ShapeShift's proprietary templates and methods without written permission.

ShapeShift may use its general professional knowledge and independently developed methods with other clients, without disclosing the Client's confidential information.

    13

    Results and professional advice

ShapeShift will provide the agreed services with reasonable care and skill.

The Audit contains professional opinions and recommendations based on the information available at the time.

ShapeShift does not guarantee increased sales, higher conversion rates, lead volume, revenue, return on advertising spend or particular business outcomes.

Results depend on factors outside ShapeShift's control, including market conditions, budgets, customer behaviour, advertising platforms, sales execution and the Client's implementation decisions.

The Audit may not identify every weakness, risk, inefficiency or possible opportunity in the Client's business.

The Client is responsible for deciding which recommendations to implement and obtaining specialist advice when required.

Any subsequent implementation performed by ShapeShift requires a separate scope and agreement.

    14

    Third-party services

The Audit may involve third-party platforms including CRMs, advertising systems, analytics providers, website software, communication services and AI tools.

ShapeShift does not control the availability, pricing, policies, functionality or reliability of independent third-party services.

Subject to applicable law, ShapeShift is not responsible for interruptions, platform changes, restrictions or failures caused by independent third parties, except to the extent they result from ShapeShift's own breach or failure to meet an applicable duty.

The Client remains responsible for its own platform subscriptions, usage charges, advertising budgets and account ownership.

    15

    Payment, cancellation and refunds

The standard Audit price is US$497, one-time, excluding separately disclosed applicable taxes.

There is no recurring subscription or ongoing obligation under this purchase.

The Client may request cancellation in writing.

Where cancellation occurs before substantive Audit work begins, ShapeShift will ordinarily refund the payment, less any lawful, reasonable, previously disclosed and irrecoverable transaction costs where applicable.

Where substantive work has begun, any refund will be assessed fairly having regard to work performed, reasonable costs incurred and applicable legal rights.

Where ShapeShift cannot deliver the agreed service and no reasonable alternative is accepted, ShapeShift will provide an appropriate remedy or refund as required by law.

Nothing in these Terms excludes or restricts any statutory guarantee, refund entitlement or other right that cannot lawfully be excluded.

If a payment dispute or chargeback arises, both parties agree to cooperate reasonably and provide relevant records. Nothing prevents either party from exercising lawful rights through its payment provider or another lawful process.

    16

Optional ongoing services and audit credit

ShapeShift may offer separate services including Growth Direction, Growth Engine, implementation projects and continuing marketing support.

These services are optional and are subject to separate scope, pricing, commitments and agreements.

If the Client purchases the Growth Direction monthly service within 14 calendar days after receiving the Audit findings, ShapeShift will apply a credit equal to 50% of the Audit fee paid, up to US$248.50, towards the first monthly service invoice.

If the Client instead purchases the Growth Engine monthly service within 14 calendar days after receiving the Audit findings, ShapeShift will apply a credit equal to 100% of the Audit fee paid, up to US$497, towards the first monthly service invoice.

Only one of these credits may be claimed for the Audit. Credits have no cash value, are not transferable and cannot be applied to advertising spend, external subscriptions or separately quoted implementation.

A credit applies only where the relevant ongoing service has been accepted under its own agreement. This provision does not require ShapeShift to accept an unsuitable engagement.

    17

    Responsibility and liability

Nothing in these Terms excludes, restricts or modifies rights, remedies, guarantees or liabilities that cannot lawfully be excluded or limited.

Subject to clause 17.1, neither party will be liable to the other for indirect or consequential losses, including lost profits, lost business opportunities or anticipated savings, to the extent permitted by law.

Subject to clause 17.1, ShapeShift's total aggregate contractual liability arising from a particular Audit engagement will not exceed the Audit fees actually paid for that engagement, except where such a limitation is prohibited or unenforceable.

The limitations in this section do not apply to fraud or wilful misconduct and do not restrict any other liability that cannot lawfully be limited.

The Client is responsible for claims or losses arising from information or systems it provides without the required rights or permissions, or unlawful instructions it issues, to the extent caused by the Client's conduct rather than ShapeShift's negligence, breach or unlawful conduct.

Neither party is required to indemnify the other for that other party's own negligence, fraud, unlawful conduct or contractual breach.

    18

    Disputes

A party raising a concern should notify the other party in writing, identifying the issue and the remedy sought.

Both parties agree to attempt to resolve disputes in good faith within 15 business days.

The parties may agree to mediation before pursuing litigation, without surrendering mandatory rights or urgent remedies.

Nothing in this clause prevents lawful chargeback procedures, mandatory consumer or small-business remedies, urgent court relief or regulatory complaints.

    19

    Governing law and international engagements

This Agreement is intended to be governed by the laws of New South Wales, Australia, subject to mandatory laws and protections that apply to the parties or transaction.

The parties submit to the non-exclusive jurisdiction of the courts of New South Wales, without excluding courts or jurisdictions that must be available under applicable law.

International Clients acknowledge that ShapeShift is an Australian business and that services may be delivered remotely from Australia or other authorised locations.

This clause does not override any mandatory privacy, consumer protection, contractual or other law applicable to a particular Client or transaction.

    20

    General

The parties are independent businesses. No employment, partnership, franchise, agency relationship or joint venture is created.

Neither party may bind the other to obligations without written authorisation.

Any material change to the agreed scope or price requires written agreement.

If a provision is found invalid or unenforceable, it will be severed or read down to the extent legally permitted, with the remainder continuing where lawful.

Electronic acceptance is permitted where the checkout process provides valid notice and evidence of acceptance.

Clauses relating to confidentiality, intellectual property, accrued payments, liability and dispute resolution survive completion to the extent relevant.

These Terms, the agreed product description and any written scope confirmation form the entire agreement regarding the Growth Systems Audit, subject to rights that cannot lawfully be excluded.

Draft for legal review before live use. Not legal advice or a guarantee against litigation.
